Welcome to Switchboard, MD. Switchboard, MD Inc. (“Switchboard,” as well as “we,” “us,” “our,” and similar terms) provides physician-built AI solutions designed to streamline healthcare operations, including, but not limited to:

  • Inbox management and message triaging.

  • Contact center automation and transcription.

  • Integration with electronic medical records and other healthcare infrastructure.

These Terms of Service (“Terms”) govern your access to and use of our website and related software, data, services, and platform available at switchboardmd.com, any of its subdomains, or any intranet site or domain where we may make our offerings available to end users within a customer’s organization (all of the foregoing, collectively, the “Switchboard Systems”).

By accessing or using any Switchboard Systems, you agree to be bound by these Terms.  If you are using any Switchboard Systems on behalf of an organization, you agree to these Terms for that organization and represent that you have authority to bind that organization to these Terms.

These Terms apply between Switchboard as the technology provider and you as the end user.  If any provision of these Terms is inconsistent with any corresponding provision of any applicable Business Associate Agreement, main services agreement, order form, or other written agreement in effect from time to time between or among Switchboard, you, and/or the applicable customer organization (the “Switchboard Business Associate”), or with any applicable law or regulation, the other agreement or applicable law or regulation will control and supersede these Terms to the extent of the conflict.

If you do not agree to these Terms, you are not permitted to access or use any Switchboard Systems, and you must not do so.

1. Not Medical Advice

Switchboard is a technology provider, not a healthcare provider.  Switchboard Systems are intended solely for clinical support and operational or administrative support.

Switchboard Systems only assist licensed medical providers and other qualified healthcare professionals.  AI-generated insights, triaging suggestions, transcriptions, summaries, and other outputs, tools, and offerings made available through the Switchboard Systems (collectively, “Outputs”) are not medical advice and must not be considered or used as a substitute for medical advice, diagnosis, treatment, treatment planning, medical orders, or the independent professional judgment of a licensed medical provider or other qualified healthcare professional.

No doctor-patient, provider-patient, or other clinical relationship is created between Switchboard and you or any patient through access to or use of the Switchboard Systems or any Outputs.

While Switchboard makes reasonable efforts to support the quality of the Switchboard Systems and Outputs, technical systems, and particularly systems involving artificial intelligence or machine learning, may produce errors, omissions, inaccuracies, incomplete information, or misleading results.  You must not rely on the completeness or accuracy of any Output without independent review and validation by a qualified healthcare professional.

If you convey any Output to another person, you are responsible for independently validating that Output first and, where appropriate, making clear that the information was generated or assisted by the Switchboard Systems and is not authoritative clinical guidance standing on its own.

All clinical decisions, including diagnoses, treatment decisions, treatment plans, and patient communications involving medical judgment, must be made only by qualified healthcare professionals and must not rely solely on the Switchboard Systems or any Outputs.

IF YOU OR A PATIENT ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR LOCAL EMERGENCY SERVICES IMMEDIATELY.

2. Eligibility and Account Security

You must be at least 18 years old to use the Switchboard Systems.  If you use an instance or deployment of the Switchboard Systems associated with a particular Switchboard Business Associate, you must be authorized by that Switchboard Business Associate to access and use its instance or deployment of the Switchboard Systems.

If you have or create an account, you are responsible for maintaining the confidentiality and security of your login credentials and for all activities that occur under your account, including unauthorized activities resulting from your failure to maintain the confidentiality or security of your credentials.

You must not share your login credentials with any other person.  You agree to notify Switchboard and, as applicable, the relevant Switchboard Business Associate immediately of any unauthorized use of your account or any other suspected security incident involving your account.

The applicable Switchboard Business Associate may control and administer your access to the Switchboard Systems, including enabling, suspending, or terminating your account, to the extent permitted by the applicable agreement and law.

3. Acceptable Use

You agree not to access or use any Switchboard Systems or Outputs:

For any illegal purpose or in violation of any applicable local, state, national, or international law.

In breach of any policy or other obligation applicable to you between you and the Switchboard Business Associate on whose behalf you access or use the Switchboard Systems.

In breach of any applicable third-party terms of service, acceptable use policy, privacy policy, or similar terms or policies.

To reverse engineer, decompile, disassemble, extract, copy, or otherwise attempt to derive source code, model parameters, training data, trade secrets, or other proprietary information from the Switchboard Systems, except to the extent such restriction is prohibited by applicable law.

To access or use the Switchboard Systems for the purpose of building, benchmarking, or improving a competing product or service, or to display or demonstrate the Switchboard Systems to any competitor of Switchboard without Switchboard’s prior written consent.

To upload, input, access, transmit, or use any data in a manner that violates the privacy, confidentiality, publicity, intellectual property, or other rights of Switchboard, any Switchboard Business Associate, any patient or other natural person, or any third party.

To bypass, supersede, or contravene the professional judgment of any licensed medical provider or other qualified healthcare professional.

To interfere with or disrupt the integrity, security, performance, or availability of any Switchboard Systems, including through unauthorized access, scanning, penetration testing, or introduction of malicious code.

4. Data Privacy and HIPAA Compliance

Switchboard is committed to protecting protected health information and other personal data.

Our collection, use, and disclosure of protected health information on behalf of healthcare organizations is governed by one or more Business Associate Agreements between Switchboard and one or more covered entities or business associates, as applicable, in compliance with HIPAA and its implementing regulations.

Our collection and use of other personal information, including information relating to end users of the Switchboard Systems, are governed by our Privacy Policy, available at https://www.switchboardmd.com/privacy-policy.

5.  Intellectual Property and License

The Switchboard Systems and any proprietary Outputs, including all software, source code, object code, interfaces, workflows, designs, text, graphics, logos, databases, documentation, proprietary models, and other content and technology embodied in or made available through the Switchboard Systems, are owned by Switchboard or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Subject to these Terms and any applicable agreement between Switchboard and a Switchboard Business Associate, Switchboard grants you a limited, nonexclusive, nontransferable, non-sublicensable, revocable license to access and use the Switchboard Systems solely for your internal, authorized use in connection with the applicable Switchboard Business Associate.

Except for the limited license expressly granted in these Terms, no rights, title, or interest in or to the Switchboard Systems are granted to you, whether by implication, estoppel, or otherwise.

If you provide any feedback, comments, or suggestions regarding the Switchboard Systems, you grant Switchboard a worldwide, perpetual, irrevocable, royalty-free, fully paid-up license to use, reproduce, modify, and otherwise exploit that feedback for any lawful purpose without restriction or obligation to you.

6.  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWITCHBOARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, ANY SWITCHBOARD SYSTEMS OR OUTPUTS, EVEN IF SWITCHBOARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SWITCHBOARD ARISING OUT OF OR RELATING TO THESE TERMS OR THE SWITCHBOARD SYSTEMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID TO SWITCHBOARD BY THE APPLICABLE SWITCHBOARD BUSINESS ASSOCIATE FOR YOUR ACCESS TO THE SWITCHBOARD SYSTEMS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

The limitations in this Section apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and will apply even if any limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities, so some of the above limitations may not apply to you to the extent prohibited by law.

7.  Disclaimer of Warranties

THE SWITCHBOARD SYSTEMS AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”  TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWITCHBOARD DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

Switchboard does not warrant that the Switchboard Systems or any Outputs will be uninterrupted, error-free, secure, complete, accurate, or fit for your intended use, or that they will achieve any particular clinical, operational, or business result.

Without limiting Section 1, Switchboard makes no representation or warranty that any Output is clinically accurate, complete, or appropriate for any patient, and all clinical use remains subject to independent professional review and judgment by qualified healthcare professionals.

8.  Termination

Switchboard may suspend or terminate your access to any Switchboard Systems at any time, with or without notice, if Switchboard believes that you, or the Switchboard Business Associate on whose behalf you access or use any Switchboard Systems, have violated these Terms or any other written agreement then in effect with Switchboard, your use poses a security or legal risk, or suspension or termination is otherwise necessary to protect the Switchboard Systems, Switchboard, its customers, or any third party.

Your right to access and use the Switchboard Systems will automatically terminate if the applicable agreement between Switchboard and the relevant Switchboard Business Associate expires or terminates, or if your authorization from that organization ends.

Sections that by their nature should survive termination will survive, including Sections 1, 3, 5, 6, 7, 9, 10, and 11.

9.  Changes to Terms

Switchboard may modify these Terms from time to time.  When Switchboard does so, it will update the “Last Updated” date above and may provide additional notice through the Switchboard Systems, by email, or by other reasonable means.

Your continued use of any Switchboard Systems after the effective date of revised Terms constitutes your acceptance of the revised Terms.

10.  Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Switchboard Systems shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Switchboard Systems shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you and Switchboard consent to the personal jurisdiction and venue of those courts.

11.  Miscellaneous

These Terms, together with any policies or other terms incorporated by reference and any applicable written agreement described above, constitute the entire agreement between you and Switchboard regarding your use of the Switchboard Systems, except to the extent superseded by an applicable Business Associate Agreement, master services agreement, order form, or other written agreement.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.

Switchboard’s failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

You may not assign or transfer these Terms, in whole or in part, without Switchboard’s prior written consent. Switchboard may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets.
